Effective Date: August 24, 2026. These Terms and Conditions (the “Terms”) are a binding agreement between you and MTech Distributors LLC (“MTech,” “we,” “us,” or “our”). By using the website, creating an account, submitting an order, or affirmatively accepting these Terms, you agree to them and to our Privacy Policy. If you do not agree, do not use the website. You must be at least 18 years old and legally able to enter into a binding agreement. If you act for a company or other organization, you represent that you have authority to bind it. Merchant-processing, ATM, POS, leasing, financing, installation, maintenance, and other contracted services may be governed by a separate application, order form, or signed service agreement. If a separate agreement conflicts with these Terms, that agreement controls only for the services it covers.

You agree to provide accurate, current, and complete information, keep account credentials confidential, and promptly notify MTech of suspected unauthorized access. You are responsible for activity conducted through your account to the extent permitted by law. You may not use the website to violate any law; commit fraud; impersonate another person or entity; submit false or misleading information; transmit malware or harmful code; probe, bypass, or interfere with security; scrape or harvest data without written permission; reverse engineer any protected portion of the website; infringe intellectual-property or privacy rights; or disrupt another person’s use of the website. MTech may investigate suspected misuse and may restrict or suspend access when reasonably necessary to protect users, MTech, its service providers, or the website, subject to applicable law.

Product listings are invitations to submit an order and do not guarantee availability or acceptance. An automated acknowledgement confirms receipt only. MTech may accept an order by shipping the product or sending an express acceptance notice. We may reject or cancel an order before shipment for inventory issues, suspected fraud, payment problems, pricing or description errors, legal restrictions, or other legitimate reasons. If we cancel after collecting payment, we will issue the appropriate refund to the original payment method. Prices, promotions, specifications, and availability may change before order acceptance. You authorize MTech and its payment providers to charge the payment method you supply for the order total, applicable taxes, shipping, and disclosed fees. You are responsible for accurate billing and delivery information. Shipping dates are estimates unless expressly guaranteed. If shipment is delayed, MTech will provide any notice, consent opportunity, cancellation right, or refund required by applicable law. Title and risk of loss transfer as disclosed at checkout and as required by applicable law. You must inspect deliveries promptly and report shortages, damage, or incorrect items within the period stated in the applicable Return and Refund Policy.

Returns, exchanges, cancellations, restocking charges, and refunds are governed by the Return and Refund Policy available at https://www.mtechdistributor.com/return-policy and by any order-specific terms disclosed before purchase. Product warranties are governed by the written MTech or manufacturer warranty supplied with the applicable product or service. Manufacturer warranties are provided by the identified manufacturer, and MTech will not be treated as the manufacturer unless expressly stated in writing. The website and its general informational content are provided on an “as is” and “as available” basis, without a promise that access will always be uninterrupted or error-free. This website disclaimer does not replace or reduce an applicable written product warranty. MTech does not disclaim or limit any implied warranty, remedy, or consumer right that cannot lawfully be disclaimed or limited. If a written warranty, service contract, or applicable law provides greater protection, that protection controls.

The website and its text, graphics, logos, photographs, videos, software, design, and other content are owned by or licensed to MTech and are protected by intellectual-property laws. MTech grants you a limited, revocable, nonexclusive, nontransferable license to use the website for lawful personal or internal business purposes. No content may be copied, modified, distributed, sold, publicly displayed, or used to create derivative works without written permission, except where the law expressly allows it. If you voluntarily provide feedback or suggestions, you grant MTech a nonexclusive, worldwide, royalty-free license to use them without identifying you, but you retain ownership of your other submissions. Our collection and use of personal information are governed by the Privacy Policy at https://www.mtechdistributor.com/privacy. Submitting a callback or contact request authorizes MTech to respond to that request using the contact information provided; it does not, by itself, constitute consent to unrelated telemarketing where separate consent is required by law.

The website may link to or depend on manufacturers, banks, payment processors, carriers, software providers, and other independent third parties. Their products, services, availability, and privacy practices may be governed by separate terms. MTech is not responsible for matters controlled solely by an independent third party, but nothing in these Terms eliminates any responsibility MTech has under applicable law. To the fullest extent permitted by law, MTech will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, arising from the website or a transaction. MTech’s aggregate liability for a product order will not exceed the amount paid for the affected product, and liability for a claim involving only use of the website will not exceed the greater of $100 or the amount paid to MTech for website use during the preceding 12 months. These limitations do not apply to liability that cannot legally be limited, or to fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or violation of nonwaivable consumer rights. Some jurisdictions do not permit certain exclusions, so each limitation applies only to the extent lawful. To the extent permitted by law, a business user will indemnify MTech against third-party claims resulting from that user’s unlawful use of the website or material breach of these Terms, except to the extent caused by MTech.

MTech may modify, suspend, or discontinue website features and may terminate access for a material breach, unlawful activity, security risk, or as otherwise permitted by law. MTech is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, labor disruptions, transportation failures, utility or network outages, governmental action, or failures of independent service providers. We may revise these Terms prospectively by posting an updated version and effective date. Material changes will receive reasonable notice when required, and the terms in effect when an order is accepted will continue to govern that order unless the parties lawfully agree otherwise. New York law governs these Terms, without regard to conflict-of-law rules. Except where applicable consumer law requires another forum, disputes must be brought in the state or federal courts located in Kings County, New York; eligible claims may also be filed in small-claims court. If any provision is unenforceable, it will be modified only as necessary and the remainder will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without MTech’s written consent; MTech may assign them in connection with a merger, reorganization, sale, or transfer of its business, subject to applicable law. These Terms, the Privacy Policy, the Return and Refund Policy, applicable warranty documents, and any order-specific or signed service agreement constitute the complete agreement for their respective subject matter.
